Terms of Service
These Terms of Service govern access to and use of the LoanStandard platform, website, applications, software, and related services. By creating an account, accessing the platform, or using the services, you agree to these Terms. If you are using LoanStandard on behalf of a company or other organization, you represent that you are authorized to accept these Terms on behalf of that organization.
1. Overview of LoanStandard
LoanStandard is a cloud-based platform that helps lending organizations, aggregators, due diligence firms, capital providers, and related parties organize, review, extract, verify, and exchange loan file information.
The platform may process loan documents, borrower information, financial records, entity documents, appraisal reports, title documents, background materials, credit-related documents, and other diligence materials uploaded or shared by customers or authorized users.
LoanStandard is a software platform. LoanStandard does not originate loans, underwrite loans, purchase loans, sell loans, provide legal advice, provide tax advice, provide investment advice, or make credit decisions.
2. Definitions
"LoanStandard," "we," "us," or "our" means LoanStandard, Inc. and its affiliates, if any.
"Platform" means the LoanStandard software application, website, APIs, document processing tools, AI-assisted workflows, reporting tools, and related services.
"Customer" means the company, lender, aggregator, diligence firm, capital provider, or other organization that has contracted with or been granted access to LoanStandard.
"Organization" means a customer workspace or tenant within the Platform.
"Authorized User" means an individual who has been invited or permitted to access the Platform on behalf of a Customer or Organization.
"External User" means an Authorized User who is not an employee or internal user of the Organization that invited them, but who has been granted access to a specific loan, pool, tape, or workflow.
"Customer Data" means any documents, data, files, information, loan materials, borrower materials, extracted fields, comments, notes, exceptions, metadata, or other content uploaded to, processed by, or generated through the Platform on behalf of a Customer.
"Loan File" means a loan record or package within the Platform, including related documents, metadata, extracted data, verification results, notes, exceptions, and audit logs.
"AI Outputs" means AI-generated classifications, extracted fields, summaries, findings, confidence scores, suggested exceptions, or other machine-generated outputs.
3. Account Registration and Access
To use the Platform, you must create an account or be invited by an Organization.
You agree to provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You may not share your account credentials with any other person. Each user must access the Platform through their own account.
LoanStandard may require multi-factor authentication, password resets, identity verification, or other access controls.
4. Roles and Permissions
Access to Platform features may depend on your assigned role. Roles may include Owner, Admin, Member, Contributor, Viewer, External Viewer, External Contributor, or other roles configured by LoanStandard or your Organization.
Your ability to view, upload, edit, comment, export, download, waive, clear, or share information depends on your role and the permissions granted by your Organization.
LoanStandard may log role assignments, permission changes, login events, document views, exports, uploads, comments, waivers, and other activity.
5. External User Access
Customers may invite External Users to access specific Loan Files, pools, tapes, or workflows. External Users may be required to accept a separate Confidentiality and Authorized-Use Acknowledgment before accessing shared materials.
External Users may only use shared information for the specific business purpose for which access was granted.
External User access may be limited, revoked, suspended, or modified at any time by the inviting Organization or LoanStandard.
External Users may not download, copy, screenshot, photograph, print, forward, redistribute, or otherwise disclose confidential information unless expressly permitted by their role and the inviting Organization.
6. Permitted Use
You may use the Platform only for lawful business purposes related to loan file organization, review, diligence, verification, delivery, pooling, reporting, or related capital markets workflows.
You agree not to use the Platform for any purpose that is illegal, fraudulent, deceptive, abusive, harmful, or unauthorized.
7. Prohibited Conduct
You may not:
- Access or attempt to access data, files, systems, accounts, or organizations that you are not authorized to access.
- Share your login credentials with any other person.
- Circumvent, disable, or interfere with Platform security controls.
- Copy, scrape, export, download, photograph, screenshot, redistribute, or disclose information except as permitted by your role and applicable authorization.
- Upload malicious code, viruses, malware, or harmful files.
- Reverse engineer, decompile, or attempt to derive the source code of the Platform.
- Use the Platform to violate any privacy, data protection, lending, credit, consumer protection, or financial services law.
- Misrepresent your identity, role, authority, or affiliation.
- Use AI Outputs as the sole basis for any credit, lending, investment, underwriting, legal, or compliance decision without appropriate human review.
- Use the Platform in a way that could damage, disable, overload, or impair LoanStandard's systems.
8. Customer Responsibilities
Each Customer is responsible for:
- Determining who may access its Organization and Loan Files.
- Assigning appropriate user roles and permissions.
- Ensuring that its users have lawful authority to upload, process, share, review, and use Customer Data.
- Obtaining any required borrower, guarantor, consumer, entity, or third-party consents.
- Ensuring that Customer Data is accurate, lawful, and appropriate for processing.
- Reviewing AI Outputs and verification results before relying on them.
- Complying with all laws applicable to its business, including lending, privacy, consumer reporting, data security, financial services, and confidentiality obligations.
LoanStandard is not responsible for determining whether a Customer has a permissible purpose to access or process any credit report, background report, bank statement, identity document, or other sensitive information.
9. Customer Data Ownership
As between LoanStandard and Customer, Customer retains all ownership rights in Customer Data.
LoanStandard does not claim ownership of Customer Data.
Customer grants LoanStandard a limited right to host, store, process, transmit, analyze, extract, classify, display, and otherwise use Customer Data solely as necessary to provide, maintain, secure, improve, and support the Platform, comply with legal obligations, and enforce these Terms.
10. LoanStandard Data
LoanStandard owns all rights in the Platform, software, workflows, interfaces, algorithms, templates, models, prompts, metadata structures, system designs, documentation, know-how, and related technology.
LoanStandard may generate and use operational data, usage data, diagnostic data, logs, performance metrics, and aggregated or de-identified data to operate, secure, improve, and analyze the Platform, provided such data does not identify a borrower, consumer, Customer, or confidential Loan File except as permitted by these Terms or applicable agreement.
11. AI-Assisted Processing
The Platform may use AI, machine learning, OCR, document parsing, natural language processing, or similar technologies to classify documents, extract data, identify inconsistencies, generate summaries, suggest exceptions, assign confidence scores, or support diligence workflows.
AI Outputs may be incomplete, inaccurate, inconsistent, or based on imperfect source documents, OCR errors, scan quality, missing pages, ambiguous language, or other limitations.
You are responsible for reviewing AI Outputs before relying on them. LoanStandard does not guarantee that AI Outputs are complete, accurate, error-free, or suitable for any particular transaction, diligence process, investment decision, underwriting decision, legal conclusion, or compliance determination.
LoanStandard may improve prompts, workflows, extraction schemas, document classification rules, and verification processes over time.
12. No Professional Advice
LoanStandard does not provide legal, tax, accounting, lending, underwriting, appraisal, compliance, due diligence, investment, or financial advice.
Any information, summaries, classifications, extracted fields, verification results, exceptions, or AI Outputs provided through the Platform are for workflow support only.
Customers and users should consult appropriate professionals before making legal, credit, investment, compliance, or business decisions.
13. Confidentiality
Customer Data and non-public Platform information may be confidential.
You agree to protect confidential information using reasonable care and not disclose it except as authorized by your role, your Organization, the inviting Organization, applicable agreement, or applicable law.
External Users may be subject to additional confidentiality obligations through a separate acknowledgment before accessing shared loan information.
14. Security
LoanStandard uses administrative, technical, and organizational safeguards designed to protect the Platform and Customer Data.
These safeguards may include role-based access controls, authentication, encryption, logging, monitoring, secure cloud infrastructure, audit trails, and other security measures.
No system is completely secure. LoanStandard does not guarantee that unauthorized access, data loss, cyberattack, service interruption, or security incident will never occur.
You must promptly notify LoanStandard at security@loanstandard.io if you suspect unauthorized access, credential compromise, data misuse, or a security incident.
15. Audit Logging
The Platform may record user activity for security, audit, compliance, debugging, and operational purposes.
Logged activity may include login events, page views, document views, uploads, downloads, exports, comments, exception waivers, role changes, access grants, access revocations, and other Platform activity.
By using the Platform, you acknowledge that your activity may be logged and reviewed by LoanStandard, your Organization, the inviting Organization, or other authorized parties where appropriate.
16. Third-Party Services
LoanStandard may use third-party service providers to host, store, process, analyze, secure, monitor, or support the Platform.
These providers may include cloud infrastructure providers, authentication providers, AI/OCR providers, logging providers, analytics providers, email providers, and customer support providers.
LoanStandard is not responsible for third-party services outside its reasonable control, but will use commercially reasonable efforts to engage service providers appropriate for the nature of the Platform.
17. Privacy
LoanStandard's Privacy Policy explains how we collect, use, disclose, and protect personal information.
By using the Platform, you acknowledge the Privacy Policy.
If there is a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy controls for privacy-specific matters unless a separate written agreement states otherwise.
18. Fees and Payment
Fees, payment terms, billing frequency, usage limits, and subscription details may be set forth in an order form, subscription agreement, pilot agreement, proof-of-value agreement, master services agreement, or other written agreement between LoanStandard and Customer.
If no separate agreement applies, LoanStandard may suspend or terminate access for nonpayment or unauthorized use.
19. Service Availability
LoanStandard will use commercially reasonable efforts to make the Platform available.
LoanStandard does not guarantee uninterrupted, error-free, or always-available service unless a separate written service level agreement applies.
The Platform may be unavailable due to maintenance, updates, outages, third-party service failures, security events, force majeure events, or other conditions.
20. Beta, Pilot, and Evaluation Use
Some features or environments may be provided as beta, pilot, sandbox, proof-of-value, or evaluation versions.
Beta or pilot features may be incomplete, unstable, limited, or subject to change.
LoanStandard may modify, suspend, discontinue, or reset beta or pilot environments at any time.
Unless otherwise agreed in writing, beta or pilot access is provided without warranties and may not include production-level service commitments.
21. Feedback
If you provide suggestions, ideas, comments, improvements, bug reports, workflows, templates, or other feedback, you grant LoanStandard a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation.
22. Suspension
LoanStandard may suspend or limit access if:
- A user violates these Terms.
- LoanStandard reasonably believes there is a security risk.
- An account is compromised.
- A Customer fails to pay amounts due.
- Use of the Platform violates law or third-party rights.
- Continued access may harm LoanStandard, another customer, borrowers, or third parties.
- The Customer or inviting Organization requests access suspension.
LoanStandard will use reasonable efforts to provide notice when appropriate.
23. Termination
Customers may terminate their use of the Platform as provided in the applicable order form or written agreement.
LoanStandard may terminate access for material breach, nonpayment, unlawful use, security risk, or discontinued services.
Upon termination, access to the Platform may end. Customer Data may be retained, exported, or deleted according to the applicable agreement, retention policy, legal obligations, or Customer instructions.
24. Data Retention and Deletion
Customer Data will be retained according to the applicable agreement, Customer configuration, legal requirements, backup practices, and LoanStandard's retention policies.
LoanStandard may retain logs, audit records, backup copies, security records, and de-identified or aggregated data as reasonably necessary for legal, security, compliance, operational, or dispute-resolution purposes.
25. Indemnification
To the extent permitted by law, Customer agrees to defend, indemnify, and hold harmless LoanStandard from and against claims, damages, losses, liabilities, costs, and expenses arising from:
- Customer Data.
- Customer's or its users' use of the Platform.
- Customer's violation of these Terms.
- Customer's violation of law.
- Customer's failure to obtain required consents or authorizations.
- Customer's unauthorized disclosure or misuse of borrower, consumer, or third-party information.
LoanStandard will provide prompt notice of any claim and reasonably cooperate in the defense.
26. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" UNLESS OTHERWISE AGREED IN WRITING.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOANSTANDARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.
LOANSTANDARD DOES NOT WARRANT THAT THE PLATFORM, AI OUTPUTS, EXTRACTED FIELDS, CLASSIFICATIONS, VERIFICATION RESULTS, EXCEPTIONS, REPORTS, EXPORTS, OR SUMMARIES WILL BE COMPLETE, ACCURATE, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR TRANSACTION OR DECISION.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOANSTANDARD WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, GOODWILL, OR LOSS OF USE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOANSTANDARD'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO LOANSTANDARD FOR THE PLATFORM DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF NO AMOUNTS WERE PAID.
Some jurisdictions do not allow certain limitations, so some limitations may not apply.
28. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Delaware, unless a separate written agreement provides otherwise.
29. Changes to These Terms
LoanStandard may update these Terms from time to time.
If we make material changes, we may notify users through the Platform, by email, or by other reasonable means.
Continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms.
30. Conflicts With Separate Agreements
If Customer has entered into a separate written agreement with LoanStandard, such as a master services agreement, order form, pilot agreement, proof-of-value agreement, data processing agreement, or enterprise agreement, that agreement controls if there is a conflict with these Terms.
